
LICENCE AGREEMENT

THIS  DOCUMENT IS A LEGAL  AGREEMENT  BETWEEN  THE  COMMONWEALTH  OF  AUSTRALIA
REPRESENTED BY GEOSCIENCE  AUSTRALIA  ('Geoscience  Australia')  AND YOU OR THE
ORGANISATION ON WHOSE BEHALF YOU ARE UNDERTAKING  THE LICENCE  ('Licensee')  IN
RELATION TO THE DATA ON THE CD ENCLOSED IN THIS  PACKAGE  ('Data').  BY OPENING
THE PACKAGE AND USING THE CD, YOU ACCEPT THE  FOLLOWING  CONDITIONS.  IF YOU DO
NOT AGREE WITH ANY OF THE TERMS OF THE LICENCE AGREEMENT, YOU MUST REFRAIN FROM
USING THE DATA AND RETURN IT TO THE PLACE OF PURCHASE WITHIN 7 DAYS OF PURCHASE
TO OBTAIN A FULL REFUND.

CONDITIONS

1.  Definitions:  In these Conditions, unless the contrary  intention  appears:
'Derivative  Product'  means a distinct  product in which the Data is  altered,
abridged or supplemented, and/or which incorporates  additional  functionality;
'End-user'  means a third  party to whom the  Licensee  supplies  the Data or a
Derivative Product; and 'Intellectual Property' includes all copyright, and all
rights in relation to registered and unregistered trademarks (including service
marks),  registered  designs  and  confidential  information  (including  trade
secrets  and  know-how),  and all  other  rights  resulting  from  intellectual
activity in the industrial, scientific, literary or artistic fields.

2.  Grant  of  Licence:  Geoscience   Australia   grants  to  the   Licensee  a
non-exclusive, non-transferable licence ('Licence'):  (a) to use, reproduce and
adapt the Data; (b) to develop the Derivative Product from the Data; and (c) to
distribute the Data or the  Derivative  Product to End-users.  The Licence does
not entitle the Licensee to sub-licence the above rights.  However the End-user
may exercise limited rights conferred by Geoscience  Australia, as described in
the copyright  statements that the Licensee is to apply under  conditions 3 and
4.

3.  Where the Data is used in unaltered  form, the Licensee must make End-users
aware that the Data is used under  licence from  Geoscience  Australia by using
the following copyright  statement:  (c) Commonwealth of Australia  (Geoscience
Australia) [add year of data publication]  Limited End-user licence provided by
Geoscience  Australia:  Provided  that you retain this  notice, you may use and
reproduce the data, for your personal use or use within your organisation.  You
must not create a Derivative  Product in which the Data is altered, abridged or
supplemented.  Geoscience  Australia  gives no  warranty  regarding  the Data's
accuracy,  completeness,  currency or suitability  for any particular  purpose.

4.  Where a Derivative  Product is developed  from the Data, the Licensee  must
supply  a copy  of the  Derivative  Product  and  distribution  information  to
Geoscience  Australia on request.  Any  Derivative  Product  shall  display the
following  copyright  statement:  This  product  incorporates  data that is (c)
Commonwealth   of   Australia   (Geoscience   Australia)   [add  year  of  data
publication].  The Data  ([Licensee  to insert  name of data]) has been used in
the product with the permission of Geoscience  Australia.  Geoscience Australia
gives no warranty regarding its accuracy, completeness, currency or suitability
for any particular  purpose.  Limited End-user  licence  provided by Geoscience
Australia:  Provided that you retain this notice, you may use and reproduce the
Data  incorporated  in the product,  for your  personal  use or use within your

to obtain a wider licence.

5.  Payment:  The  Licensee is not  entitled  to use the Data until the correct
fee for the Data has been paid.

6.  Retention of notices:  Except as  permitted  above, the  Licensee  must not
remove, obscure or interfere with any copyright,  acknowledgment,  attribution,
trade mark, warning or  disclaimer  statement  affixed to,  incorporated  in or
otherwise applied in connection with the Data.

7.  Intellectual  Property:  Intellectual  property  in the  Data is  owned  by
Geoscience Australia.

8.  Warranties:  To the extent permitted by law, Geoscience  Australia excludes
all  warranties  in respect of the Data.  In  respect  of any  warranties  that
cannot be excluded by law, Geoscience  Australia's liability is limited, at its
option, to replacement of the Data, supply of equivalent  data or refund of the
purchase price.

9.  Release:  Except as provided in the  previous  clause,  the  Licensee:  (a)
releases  Geoscience  Australia and its employees  and agents in respect of all
liability  for loss,  damage or injury  which may be suffered  by the  Licensee
arising from its use of the Data; and (b) indemnifies  Geoscience Australia and
its  employees  and agents in  respect  of all  liability  for loss,  damage or
injury, which may be suffered by any person  arising from that  person's use of
the Data supplied to the Licensee.

10.  Termination:  This agreement will automatically  terminate if the Licensee
breaches this agreement.  Geoscience Australia may also terminate the agreement
by giving the Licensee 14 days notice in writing.

After the end of this agreement, the Licensee must immediately  cease using the
Data and erase all copies  under its  control.  Accrued  rights or  remedies of
either party are not affected by the termination of the agreement.

11.  Application within the Commonwealth:  Where the Licensee is an entity that
it is not  permitted  to enter  into a binding  legal  agreement  except as the
Commonwealth, the agreement will be read down as a mere arrangement.

12.  Waiver:  Failure or neglect by either  party to enforce at any time any of
the provisions of this agreement will not be construed or deemed to a waiver of
that party's rights under this licence.

13.  Entire Agreement:  This agreement records the entire agreement between the
parties and  supersedes  all  earlier  agreements  and  representations  by the
parties about its subject  matter and may only be altered in writing  signed by
both parties.

14.  Applicable  Law:  This  agreement is governed by the law of the Australian
Capital  Territory and the parties submit to the jurisdiction of courts of that
Territory.
